1. Applicability
1.1 These Terms and Conditions supplement our Customer Terms of Service (ToS) and govern your usage of the Strategy Visualisation feature available on the Platform. By electing to use this feature you agree to be bound by these Terms and Conditions.
1.2 Unless expressly stated in these Terms and Conditions, capitalised terms shall have the meaning given to them in the ToS. In the event of any conflict between the ToS and these feature Terms and Conditions, these Terms and Conditions shall prevail.
1.3 These Terms and Conditions are governed by English Law and are subject to the exclusive jurisdiction of the Courts of England and Wales.
2. Use of the Strategy Visualisation
2.1 The Strategy Visualisation is an optional function available on the Platform through which Users can produce a graphic representation of an investment strategy (“Visual Output”) which can then be shared externally via websites or other online media.
2.2 To be able to use the Strategy Visualisation, you must be a User and have a SigTech Platform account. The Strategy Visualisation is for business use only and may only be used in accordance with these Terms and Conditions and the ToS.
2.3 Your access to, and use of, the Strategy Visualisation will commence upon you opening the relevant function in the Platform.
2.4 You are permitted to use the Strategy Visualisation purpose of creating a graphic representation of an investment strategy. You are also permitted to publish or share that graphic representation via a website, blog, social media platform for business purposes.
2.5 You, and the organisation holding the licence under which you are authorised to access and use the Strategy Visualisation may not use the Strategy Visualisation or the Visual Output for any purpose that would amount to commercial exploitation outside of your own organisation, including using it for any purpose that would compete with us, our Affiliates or our Third Party Providers.
2.6 You are expressly prohibited from attempting to reverse engineer, decompile or reproduce any Market Data which may be contained in or inputted into the operation of the Strategy Visualisation or from using or examining any such Market Data to ascertain the underlying raw data.
2.7 You are required to include any SigTech logo and/or other marks which are displayed on the Visual Output when it is produced by the Strategy Visualisation and you are not permitted at any time to obscure, remove or interfere with or add to any copyright notice, trade-mark, trade name or other proprietary marking or any disclaimer which is displayed on the Visual Output.
3. General terms
3.1 The Strategy Visualisation may be unavailable if:
A) the Platform is unavailable for any reason;
B) your User credentials are invalid, have expired or are otherwise not accepted; or
C) we have revoked your permission to access or use the Strategy Visualisation.
3.2 We reserve the right to:
A) suspend or terminate all or any part of our provision of the Strategy Visualisation;
B) suspend, revoke or terminate your permission to access or use the Strategy Visualisation;
C) suspend or terminate the display of the Visual Output,
each of the above rights being available to us at any time, without any obligation to provide you with prior notice.
3.3 We may, at our discretion, change these Terms and Conditions or any aspect of the Strategy Visualisation, including to change the format and content of any Visual Output. We will use reasonable endeavours to notify you in advance of any such changes. Your continued use of the Strategy Visualisation after any changes to these terms constitutes your acceptance of the changes. If you do not agree to any changes, you may stop using the Strategy Visualisation.
3.4 We make no warranties, representations or endorsements in respect of the Strategy Visualisation or the underlying Market Data, whether in respect of its availability, quality, accuracy, suitability or appropriateness for your needs or otherwise. We exclude liability for all losses howsoever arising in connection with your usage of the Strategy Visualisation. Our liability in connection with your use of the Strategy Visualisation is as set out in the ToS.
4. Termination
4.1 The Strategy Visualisation will only be available to Users who are accessing and using the Platform pursuant to an existing Contract with us. In the event the Contract expires or is terminated, your access to, and rights to use, the Strategy Visualisation will immediately cease, and we reserve our rights to suspend or terminate the display of the Visual Output in accordance with clause 3.2(C).
